Terms of Service

These Terms of Service ("Terms") govern your access to and use of SiteForge ("the Service"), operated by 41 Star Capital LLC ("the Company", "we", "us", "our"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

1. The Service

SiteForge is an operations platform for Amazon sellers, bringing together sales and profit reporting, inventory and warehouse tracking, supplier product research, and restocking recommendations. SiteForge is currently offered in early access, and features may change as the platform evolves.

SiteForge is an independent application. It is not affiliated with, sponsored by, or endorsed by Amazon, Microsoft, or any other platform it integrates with. Trademarks and product names are the property of their respective owners and are used only to describe compatibility.

2. Eligibility

To use the Service, you must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms. You must own, or be authorized to act for, the Amazon seller account and any other accounts you connect.

The Service is intended solely for business, commercial, and professional use. It is not offered to, and may not be used by, individual consumers for personal, family, or household purposes.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information when creating an account and connecting your Amazon Selling Partner, Amazon Ads, or email accounts, and keep that information up to date. Notify us promptly of any unauthorized use of your account. You are solely responsible for all activity under your account, and we are not responsible for any loss arising from unauthorized use. Where ownership of an account is disputed, we may suspend the account and are not obligated to resolve or participate in the dispute.

4. Account connections and authorization

When you connect your Amazon Selling Partner, Amazon Ads, or email (for example, Microsoft 365) account to SiteForge, you authorize us to access the associated data solely to provide the Service to you, in accordance with our Privacy Policy and the applicable API terms and policies of Amazon and Microsoft. You may revoke this access at any time through your Amazon seller settings, your email provider's settings, or from within SiteForge. Revoking access may limit or disable parts of the Service.

You represent that you hold a valid Amazon seller account and that you will comply with Amazon's Conditions of Use, Service Terms, and other applicable Amazon policies while using the Service. You agree to stop using the Amazon-connected features of the Service if you no longer hold a valid Amazon seller account. You acknowledge that data originating from Amazon is subject to Amazon's rights and applicable policies, and you will not use the Service to sell, distribute, or misuse such data in violation of those policies.

5. Subscriptions, fees, and payment

The Service is currently provided free of charge during early access. When paid plans become available, the following apply:

  • Fees, billing cycles, and plan features will be presented to you at sign-up, and your subscription will begin when you confirm it.
  • Paid plans will be billed through a PCI-DSS compliant third-party payment processor. By subscribing, you authorize recurring charges until you cancel.
  • Subscriptions renew automatically for successive periods unless you cancel before the renewal date. You may cancel at any time from your account settings or by contacting us at the email below; cancellation stops future renewals and takes effect at the end of the current billing period.
  • Except where required by law, fees already paid are non-refundable. Any free trial, promotion, or different refund terms will be stated at sign-up.
  • We may change pricing on a prospective basis with reasonable advance notice; changes do not affect the period you have already paid for.
  • Fees are exclusive of taxes, which are your responsibility where applicable.

6. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose, or in violation of Amazon's policies, Microsoft's policies, or any other applicable third-party terms;
  • use the Service to circumvent, work around, or facilitate the violation of any policy, agreement, or restriction imposed by Amazon or any other platform;
  • attempt to gain unauthorized access to the Service or to other users' accounts or data;
  • reverse-engineer, copy, resell, sublicense, or create derivative works of the Service without our written consent;
  • interfere with or disrupt the integrity or performance of the Service, or introduce malicious code;
  • scrape, crawl, spider, or harvest data from the Service, or access it through automated means, except through interfaces we expressly provide;
  • interfere with or circumvent any security feature of the Service;
  • make automated use of the Service, or place an unreasonable or disproportionately large load on our infrastructure, in a way that abuses or degrades the Service. We may throttle, suspend, or terminate accounts engaged in such use, and set and enforce usage quotas and limits at our discretion;
  • share your account with others, or access the Service in a manner intended to avoid incurring fees;
  • use the Service's supplier-research features (including catalog crawling) in a way that violates the terms of use or applicable law of any supplier or third-party website. You are solely responsible for ensuring your use of these features and any sourcing or purchasing decisions comply with applicable agreements and law.

7. Your data and content

As between you and us, you retain all rights to the data you provide or that we access on your behalf ("Your Data"). You grant us a limited, non-exclusive license to host, process, and use Your Data solely to operate and provide the Service to you, and to maintain and improve the Service, as described in our Privacy Policy. You are responsible for the accuracy and legality of the data you provide.

We may generate and use aggregated, de-identified, or statistical data derived from operation of the Service (for example, performance and usage metrics) to operate, secure, and improve the Service. Such data does not identify you and does not include your Amazon Selling Partner or Advertising data, and we do not sell it. Our use of Amazon data remains limited as described in our Privacy Policy and in accordance with Amazon's Data Protection Policy.

8. Intellectual property

The Service, including its software, design, and content (excluding Your Data), is owned by the Company and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms. All rights not expressly granted are reserved.

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback into the Service without any obligation or compensation to you.

9. Informational purpose; no guarantee of results

SiteForge provides analytics and recommendations, including profit, ROI, sourcing, and restocking figures, as informational tools to support your own business decisions. These are estimates based on data available to us and are not financial, investment, tax, or legal advice, and are not a guarantee of profitability, sales, or any particular outcome. Figures may be incomplete, delayed, or inaccurate, including due to third-party data. You are solely responsible for verifying information and for all sourcing, pricing, purchasing, and business decisions you make. We are not responsible for losses resulting from reliance on the Service's outputs. The Service may occasionally contain typographical errors, inaccuracies, or omissions, which we may correct at any time without notice; except as required by law, we are under no obligation to update information.

10. Third-party services

The Service integrates with third-party services such as Amazon, Microsoft, and, when available, a payment processor. We do not control and are not responsible for the availability, accuracy, or acts or omissions of these third parties, and your use of them may be subject to their own terms. Changes a third party makes to its APIs or policies may affect the Service.

11. Service availability and changes

We may modify, suspend, or discontinue any part of the Service at any time, and we may add or remove features, particularly during early access. We may also refuse or limit the Service to any person or in any jurisdiction, at our discretion. We will make reasonable efforts to provide notice of material changes but are not liable for any modification, suspension, or discontinuation of the Service.

12. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any data or output will be accurate or complete.

13. Limitation of liability

To the maximum extent permitted by law, 41 Star Capital LLC and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of, or inability to use, the Service. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service or these Terms shall not exceed the greater of (a) the total amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) USD 100.

14. Indemnification

You agree to indemnify and hold harmless the Company and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Data, your violation of these Terms, or your violation of any law or third-party rights, including any Amazon or supplier policy or agreement.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or if we reasonably believe your use poses a risk to the Service, to us, or to others. You may stop using the Service and disconnect your accounts at any time. Upon termination, your right to use the Service ends; sections that by their nature should survive (including Sections 7–14 and 16) will survive.

16. Governing law and jurisdiction

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law principles. You agree that the state and federal courts located in Florida shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there.

To the extent permitted by law, any dispute will be resolved on an individual basis, and you and we waive the right to a jury trial and the right to participate in a class action. Any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after the claim arises, or it is permanently barred.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, take reasonable steps to notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

18. General

These Terms, together with the Privacy Policy and any terms presented at sign-up, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any third-party beneficiary rights. Any ambiguity in these Terms shall not be construed against us merely because we drafted them.

19. Amazon compliance and data use

SiteForge is built to comply with Amazon's policies for developers and sellers. Specifically:

  • We comply with Amazon's Acceptable Use Policy (AUP), Data Protection Policy (DPP), and the Selling Partner API Developer Agreement.
  • We access Selling Partner API and Amazon Ads API data only to provide the Service to the seller who authorized it. We do not sell this data, we share it only as described in our Privacy Policy, and we do not use it to train third-party models or for any purpose unrelated to the Service.
  • We do not inject affiliate links, track consumer behavior, or tamper with or alter Amazon links, listings, or pages.
  • In normal operation we do not access Amazon buyer personally identifiable information (such as buyer names or shipping addresses). The Service works with order, financial, inventory, listing, and advertising data associated with your seller account.
  • We will handle any security incident affecting Amazon data in accordance with Amazon's incident-response requirements and applicable law.
  • We follow data-minimization principles and retain Amazon data only as described in our Privacy Policy.
